These terms govern your access to and use of Faction's website, applications, and related services.

These Terms of Service ("Terms") form a binding agreement between you and Faction ("Faction," "we," "us," or "our"). By accessing or using runfaction.com, app.runfaction.com, or any related Faction services (collectively, the "Services"), you agree to these Terms.
If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and references to you include that organization.
Faction provides a team platform that lets organizations connect business tools, organize access into workspaces, and use AI-assisted chat with permissions set by admins. Features may change over time, and some capabilities may be labeled beta or preview.
We may modify, suspend, or discontinue any part of the Services with reasonable notice when practical. We are not liable for changes that do not materially reduce core functionality during a paid subscription term.
You agree not to misuse the Services. Without limiting other restrictions, you may not:
Faction may connect to third-party tools your organization authorizes. Your use of those tools remains subject to the third party's terms and policies. Faction is not responsible for third-party services, their availability, or the data they provide.
You are responsible for ensuring your organization's use of integrations complies with applicable agreements, privacy obligations, and internal policies.
Your organization retains ownership of content and data you submit to or access through the Services, subject to the rights needed for Faction to operate the platform. You grant Faction a limited license to host, process, transmit, and display customer content solely to provide and improve the Services.
You represent that you have all rights necessary to submit customer content and connect integrations, and that doing so does not violate law or third-party rights.
Paid plans, trial terms, and usage limits are described on our pricing page or in an order form. Fees are billed in advance unless stated otherwise and are non-refundable except where required by law or expressly stated in writing.
You authorize us and our payment processors to charge applicable fees, taxes, and overages. Failure to pay may result in suspension or termination of access.
Faction and its licensors own the Services, software, branding, documentation, and all related intellectual property. These Terms do not grant you ownership of the Services. You may use the Services only as permitted here and in applicable product documentation.
If you provide suggestions, ideas, or feedback about the Services, you grant Faction a perpetual, irrevocable, royalty-free license to use that feedback without restriction or compensation.
Each party may receive non-public information from the other. The receiving party will use reasonable care to protect confidential information and will use it only to perform under these Terms, except as required by law.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, FACTION DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
AI-generated output may be inaccurate or incomplete. You are responsible for reviewing outputs before relying on them, especially for legal, financial, medical, or other high-risk decisions.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FACTION WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL.
FACTION'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO FACTION FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS IF YOU HAVE NOT PAID FEES.
You will defend and indemnify Faction against claims, damages, and expenses arising from your use of the Services, customer content, connected integrations, or violation of these Terms, except to the extent caused by Faction's gross negligence or willful misconduct.
You may stop using the Services at any time. We may suspend or terminate access if you materially breach these Terms, create risk or legal exposure for Faction, or fail to pay applicable fees.
Upon termination, your right to use the Services ends. Sections that by their nature should survive will survive, including payment obligations, disclaimers, limitations of liability, and indemnification.
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Except where prohibited, the exclusive venue for disputes arising from these Terms or the Services will be the state or federal courts located in Delaware, and each party consents to personal jurisdiction there.
